By accessing and using the Keplerly website (keplerly.com) and any services provided by Keplerly ("Company", "we", "us", or "our"), you agree to be bound by these Terms and Conditions. If you do not agree, please discontinue use immediately.

These terms apply to all visitors, users, and others who access or use our services, including but not limited to SaaS development, AI integration, workflow automation, product design, API & backend development, and tech consulting.

Our Services

Keplerly provides digital product development, SaaS consulting, and technology services. All projects are governed by individual service agreements or statements of work (SOWs) executed between the Company and the client.

We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice. Specific deliverables, timelines, and pricing are defined in individual project agreements.

Intellectual Property

All content, designs, code, graphics, logos, and materials on the Keplerly website are the intellectual property of Keplerly unless otherwise stated. You may not reproduce, distribute, or create derivative works without our explicit written consent.

For client projects, intellectual property ownership and licensing terms are defined in individual project agreements. Upon full payment, clients typically receive full ownership of custom-developed deliverables unless otherwise specified.

Acceptable Use

You agree not to use our website or services for any unlawful purpose or in any way that could damage, disable, or impair the site. You must not attempt to gain unauthorized access to any part of our services, systems, or networks.

You agree not to use automated tools to scrape, crawl, or extract data from our website without express written permission. Any attempt to interfere with the proper working of our services is strictly prohibited.

Payment Terms

Payment terms are outlined in individual project agreements. Unless otherwise stated, invoices are due within 14 days of issuance. Late payments may incur additional fees as specified in your service agreement.

All fees are non-refundable unless otherwise specified in writing. We reserve the right to suspend services for overdue accounts until payment is received in full.

Limitation of Liability

Keplerly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability for any claim shall not exceed the total amount paid by you for the specific service giving rise to the claim.

We do not guarantee that our services will be uninterrupted, error-free, or completely secure. Our services are provided "as is" without warranties of any kind, either express or implied.

Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use our services will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.
